WOW Access Pass – EULA & Terms and Conditions

Effective Date: February 1st 2025

This Combined End-User License Agreement (EULA) and Terms and Conditions (T&C) (“Agreement”) govern your use of the WOW Access Pass (“Access Pass”) and any associated services provided by Wowise-FZCO Ltd. (“Wealth Of Wisdom”, WOW”, “Wowise,” “we,” “our,” or “us”). By accessing or using the Access Pass, you agree to comply with and be bound by this Agreement.

License Grant

Subject to the terms of this Agreement, WOW grants you a limited, non-exclusive, non-transferable license to access and use the Access Pass, including the curated research, information on early-stage projects, freely traded exchange-listed tokens, and any content provided through the Access Pass.

User Responsibilities

• Account Security: You are responsible for maintaining the confidentiality of your account and login information. You agree to immediately notify WOW if your account is compromised.
• Accurate Information: You agree to provide accurate, current, and complete information when registering and using the Access Pass.
• Personal Use Only: You are granted access to the Access Pass for personal, non-commercial use only. Redistribution or commercial use of any content, research, or data provided is prohibited.

Subscription and Payment Terms

• Access Pass Subscription: Subscription fees for the WOW Access Pass are due according to the plan you select at registration. Fees are non-refundable, unless otherwise specified in our Refund Policy.
• Payment Processing: Payments for the Access Pass are processed via secure third-party payment processors. We do not store your payment details. Subscription renewals will occur automatically unless canceled by you.
• Price Changes: WOW reserves the right to modify subscription fees at any time. You will be notified of any changes, and your continued use of the Access Pass constitutes acceptance of the new pricing.

Access to Services and Content

• Research and Investment Information: The WOW Access Pass provides access to curated research on early-stage, unlisted projects and freely traded exchange-listed tokens. WOW does not hold or manage funds for any investments made. All investments are made directly with the respective projects or third-party platforms.
• Content Ownership: All content provided through the Access Pass, including research, reports, data, and any proprietary software, remains the intellectual property of WOW. Users are granted access to content for personal use only.

Prohibited Activities

You agree not to:

• Use the Access Pass for any unlawful purpose or in violation of any local, state, or international laws.
• Attempt to reverse-engineer, decompile, or disassemble any software or content provided as part of the Access Pass.
• Misuse the Access Pass, including sharing your account credentials, spamming, or reselling content or research.

Refund and Cancellation Policy

• No Right to Cancel: By subscribing to the Access Pass, you acknowledge and agree that once you access the digital content or services, the 14-day right of withdrawal provided under the EU Consumer Rights Directive is waived. This means you will not be entitled to a refund if you begin using the Access Pass before the end of the 14-day period.
• Exceptions: The 14-day right to cancel applies only if the digital content or services have not been accessed. Once you log in to your account using your credentials, you are considered to have accessed the content. As such, the right to cancel is waived, and no refunds will be issued after login.
• Cancellation: You may cancel your subscription at any time, and your access to the Access Pass will continue until the end of your current billing cycle. Cancellations must be made through the user account settings or by contacting customer support.

Investment Disclaimer

• No Custodial Responsibility: Wowise does not hold, manage, or facilitate any funds for investments. All investments made via the Access Pass are conducted directly between the user and the project or third-party platform.
• Investment Risk: Investing in early-stage projects and freely traded tokens involves significant risks, including the potential loss of capital. The information provided through the WOW Access Pass does not constitute financial, investment, or legal advice.

Limitation of Liability

WOW is not responsible for any losses, damages, or expenses incurred due to the use or inability to use the Access Pass, including any errors or omissions in content, data, or research. Your use of the Access Pass is at your own risk, and WOW does not guarantee that the platform will be error-free, secure, or uninterrupted.

Termination

WOW reserves the right to suspend or terminate your access to the Access Pass at any time, without prior notice, for reasons including, but not limited to, violation of this Agreement, misuse of the Access Pass, or involvement in unlawful activities.

Dispute Resolution

• Governing Law: This Agreement is governed by the laws of DIFC. Any disputes arising from this Agreement will be resolved in the courts of DIFC.
• Arbitration: Any disputes related to this Agreement will be subject to binding arbitration, except where prohibited by law.

Changes to the Agreement

Wowise reserves the right to modify or update this Agreement at any time. Users will be notified of any changes, and continued use of the Access Pass constitutes acceptance of the updated terms.

Privacy and Data Protection

Your use of the Access Pass is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal data. Please review our Privacy Policy for more information.
